Solør Bioenergy Group concludes its strategic review

Today the owners and the board of directors of Solør Bioenergy Group announced that the strategic review of the Group has been concluded.

Solør Bioenergy Group initiated a review in the fall 2017 to evaluate the future strategy of the Group. The Group engaged SEB Corporate Finance as financial advisors for the assignment.

‘’We have been considering different options, from strategic industrial alliances to keeping the business as it is or selling it. The owners and the board of directors have now concluded. We will keep the business and continue to create shareholder value through profitable growth”, says Martinus Brandal Chairman & CEO.

We will continue to optimize our asset base and grow the company organically, which will also be facilitated by the local district heating solutions provided by the newly acquired Pemco Energi. Solør Bioenergy Group owns and operates 134 central- and local district heating plants in Sweden, Norway and Poland, together with 4 pellets plants, 1 briquette plant and 3 environmental terminals.

Solør Bioenergi acquires Pemco Energi

Solör Bioenergi grows in Sweden and Norway through the acquisition of Pemco Energi from the Norwegian Investment Company Pemco.

– We have followed the development of Pemco Energi and are impressed by the position the company managed to obtain within wood‐based bioenergy in Sweden and Norway. Moreover, Pemco’s value proposition to its customers is highly complementary to Solör’s business model in District Heating. This will lead to numerous positive effects for the combined operation, says Solör Bioenergi’s CEO Martinus Brandal

Solör Bioenergi is a leading bioenergy company, the Group is operating in the entire value chain from procurement, production and distribution to sale of energy in form of district heating, industrial steam, electricity and various biomass products. According to the Solör’s CEO, the acquisition of Pemco Energi shows Solör’s ambitions to grow further.

‐ Demand for renewable energy will increase over the next years. Solör Bioenergi is further strengthening its position in a market we really believe in with the acquisition of Pemco Energi, says Brandal.

Pemco Energi owns and operates 82 local heat plants in Norway and Sweden and produces wood‐based biofuel at two facilities in Säffle and Brumunddal.

Håkon Knappskog, who has led Pemco Energi since 2012 believes that the company will continue its growth with the new owners.

The parties agreed not to disclose the purchase price paid.

Press Release mandate letter

Notice to Oslo Stock Exchange November 14th 2016 Solör Bioenergi Holding AB signs mandate agreement with SEB for refinancing of the Group’s debt.

Solör Bioenergi Holding AB has entered into a mandate agreement with SEB regarding refinancing of existing debt. As part of the mandate agreement SEB will assist the Solör Bioenergy Group in its planning and structuring of overall debt refinancing, as well as evaluate and analyze potential refinancing options.

SEB will also coordinate and contact potential debt providers and provide assistance in evaluating terms.
